This document serves as a legal agreement between you, an individual subscriber, customer, member, or user of at least 18 years of age, or a single entity ("you" or collectively "users"), capable of entering into legal agreements, and HelloStay Corporate Office. HelloStay, in this agreement, refers to the corporate entity Hello Stay Corporate Office, its website (www.hellostay.com), mobile application, and other services as context dictates. This agreement, inclusive of updates, additional terms, software licences, and HelloStay's rules and policies (including privacy, cancellation, and refund policies), collectively forms the "Agreement" between you and HelloStay. Your continued use of the HelloStay website implies your binding acceptance of the terms, conditions, and all other policies, subject to periodic updates. You are required to accept and comply with these terms as presented, with any changes, additions, or deletions being deemed unacceptable. Noncompliance with any part of this agreement may result in HelloStay refusing access to its services. When using HelloStay, you are also subject to additional posted policies, guidelines, or rules applicable to specific services and features. These policies are incorporated by reference into these terms, and in case of inconsistency, these Terms of Use prevail. HelloStay reserves the discretion to modify, add, or remove portions of these Terms at any time by posting amended Terms. Users are advised to check these terms and policies periodically for changes. Updates to the TERMS OF USE may occur without notice, but HelloStay will make reasonable efforts to include notices regarding such changes on the Platform. Your continued use of HelloStay after changes are posted constitutes binding acceptance. These "Terms of Use" apply to all users of the HelloStay Platform and its services, as detailed on its website or application

1) GENERAL

This record is an electronic document under the Information Technology Act, 2000, and its relevant rules, as well as the amended provisions related to electronic records in various statutes as modified by the Information Technology Act, 2000. This electronic document is computer-generated and does not necessitate any physical or digital signatures. This document is released in compliance with Rule 3(1) of the Information Technology (Intermediaries Guidelines) Rules, 2011, which mandates the publication of rules and regulations, privacy policy, and user agreement for accessing or using the HELLOSTAY Platform. Your utilization of HELLOSTAY and its associated services and tools is bound by the following terms and conditions, including applicable policies, which are integrated herein by reference. By using the website, you enter into a contractual relationship with HELLOSTAY, and these terms and conditions, along with the policies, constitute your binding commitments with HELLOSTAY.. In these Terms of Use, "You" or "User" refers to any natural or legal person who has consented to be a viewer on the website by providing registration data during the registration process as a registered user using the computer systems. The terms "We," "Us," "Our" refer to HELLOSTAY.

2) About Hotels

HELLOSTAY stands as the top choice hotel brand for the contemporary Indian traveler, driven by the goal of delivering excellent hospitality at an affordable price. In order to maintain consistently exceptional service, all our hotels adhere to rigorous standard operating procedures for housekeeping and laundry. The entire staff undergoes frequent training and auditing to uphold these high standards.

3) Membership Eligibility

Access to the platform is restricted to individuals capable of entering legally binding contracts under the Indian Contract Act, 1872. Those deemed "incompetent to contract" as per the Indian Contract Act, 1872, including minors, un-discharged insolvents, etc., are not permitted to use the platform. The platform's content is not intended for children, and it is not advisable for individuals under the age of 18 to visit and access the platform. HELLOSTAY reserves the right to deny access to the platform if it comes to HELLOSTAY's attention or it is discovered that you are under the age of 18 years.

4) User responsibility

You are fully responsible for the utilization of the HELLOSTAY platform. Additionally, you voluntarily relinquish any claims against HELLOSTAY, its officers, directors, employees, suppliers, and programmers that may arise in connection with the use of the HELLOSTAY Platform

5) Communication

When utilizing the platform or transmitting emails or other data, information, or communications to us, you acknowledge and agree that such communication occurs through electronic records. By doing so, you consent to receiving communications from us periodically and as necessary via electronic records. We may communicate with you through email or any other mode of communication, whether electronic or otherwise. In the event that you transmit any communications or materials to the HELLOSTAY Platform through electronic mail or any other means, including comments, data, questions, suggestions, etc., such communications will be treated as non-confidential and non-proprietary. Consequently, the user forfeits any claim asserting that the use of such material infringes upon any of the user's rights, encompassing moral rights, privacy rights, proprietary or other property rights, publicity rights, rights to credit for material or ideas, or any other right. This includes the right to approve the manner in which HELLOSTAY utilizes such material.

6) Ownership

HELLOSTAY or its licensors retain exclusive ownership of all Intellectual Property Rights associated with the Content, Platform, and Services. You are required to adhere to any copyright notices, information, or restrictions visibly displayed on the Platform. It is acknowledged that your authorized use of the Platform and its Content does not confer any ownership rights. You are accountable for adhering to all applicable laws, rules, and regulations pertaining to your use of any Content. In instances of permitted copying, redistribution, or publication of Content from the Platform and Services, no alterations or deletions of author attribution, trademark, legend, or copyright notice are permitted. HELLOSTAY reserves the right, at its sole discretion and for any reason, to terminate, modify, suspend, or permanently discontinue any aspect of the platform, including but not limited to content, features, and availability hours, without prior notice to you. You agree that HELLOSTAY may terminate your platform use, cancel your user registration, remove your communications, and/or exercise any other available remedy if HELLOSTAY reasonably believes you have violated or acted inconsistently with these Terms, infringed upon the rights of HELLOSTAY or any third party, or for any reason, with or without notice to you. HELLOSTAY will not be held liable to you or any third party for such actions.

7) Intellectual Property

The platform contains various content, including text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, which is the proprietary material of HELLOSTAY, its affiliates, or its content suppliers. This content is safeguarded by Indian copyright laws, authors' rights, trademarks, and database rights laws. The compilation of all content on the platform is the exclusive property of HELLOSTAY and its affiliates, protected by Indian copyright and database rights. Unauthorized systematic extraction or re-use of any portions of the platform's content without the express written consent of HELLOSTAY and/or its affiliates (as applicable) is prohibited. This explicitly includes the prohibition of using data mining, robots, or similar tools for gathering and extracting data to re-utilize substantial parts of the platform without the express written consent of HELLOSTAY and/or its affiliates (as applicable), whether done once or repeatedly

8) Disclaimer

HELLOSTAY does not verify or endorse the accuracy or reliability of any advice, opinion, statement, or other information presented or disseminated through the content on the platform. You acknowledge that relying on any such opinion, advice, statement, memorandum, or information is solely at your own risk. HELLOSTAY retains the right, at its sole discretion, to rectify any errors or omissions in any part of the platform. Furthermore, you recognize that the HELLOSTAY Platform serves as an intermediary to facilitate hotel services for you. HELLOSTAY is not the final service provider to you, and therefore, HELLOSTAY shall not be held responsible or deemed liable for any deficiency or lack of services provided by any person you engage, hire, or appoint based on the material available on the HELLOSTAY Platform. HELLOSTAY shall not be held accountable for any direct, indirect, incidental, punitive, or consequential loss, damage, cost, or expense of any kind resulting from your use of this platform. In situations where the law does not allow exclusions of liability, the liability of HELLOSTAY shall be limited to the amount paid by the user and retained by HELLOSTAY for the specific transaction in question. 

9) Unlawful use and conduct

By using the Platform, you commit to adhering to all relevant local, state, national, and international laws. Furthermore, you agree not to employ the Platform for any unlawful purposes

The Terms of Use for HELLOSTAY should be read in conjunction with the Privacy Policy, accessible here.

11) Restraints

By utilizing or accessing HELLOSTAY as a viewer, you hereby commit to abstain from the following:

(a) Infringing on the rights of another individual or entity, including but not limited to their intellectual property rights;

(b) Disrupting the platform, circumventing, disabling, or interfering with security features on the platform;

(c) Engaging in stalking or any form of harassment towards another person;

(d) Impersonating any person or entity, including, but not limited to, a HELLOSTAY employee, or falsely representing your affiliation with any person or entity;

(e) Forgery or intentional modification of headers or other information to disguise the origin of any content transmitted through the platform;

(f) Violating any applicable local, state, national, or international law and any regulations with the force of law;

(g) Promoting or providing instructional information about illegal activities, advocating physical harm or injury against any group or individual, or endorsing any act of cruelty to animals. This includes, without limitation, providing instructions on how to assemble bombs, grenades, and other weapons or incendiary devices; and/or

(h) Offering for sale or selling any item, good, or service that

(i) Violates any applicable federal, state, or local law or regulation,

(ii) You do not have full power and authority under all relevant laws and regulations to offer and sell, including all necessary licenses and authorizations, or

(iii) HELLOSTAY deems, at its sole discretion, as inappropriate for transmission through the service. You agree not to collect or harvest any personally identifiable information, including user IDs, nor to use the communication systems provided for any commercial solicitation purposes. 

12) Termination

You acknowledge that HELLOSTAY holds the right, at its sole and absolute discretion and without any notice or liability to you or any third party, to promptly terminate your User ID as a viewer and expel or remove you from the platform. Grounds for such termination may include, but are not confined to:

(a) prolonged periods of inactivity

(b) violation or inconsistent behavior with the letter or spirit of these terms of use

(c) discontinuation or significant modification of the service

(d) requests by content owners, law enforcement, or other government agencies. Additionally, HELLOSTAY may, at its sole discretion and at any time, cease the platform, with or without prior notice.

13) Limitation of liabilit

All properties affiliated with HELLOSTAY are independently owned and operated by individual partners. Once a booking is confirmed with the partner hotels, HELLOSTAY assumes no liability for any incidents or mishaps occurring on these properties that result in material or human damage. You acknowledge and agree that HELLOSTAY shall not be held responsible for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses (even if HELLOSTAY had been advised of the possibility of such damages), arising from or related to the Platform, whether based on warranty, contract, tort, or any other legal theory. Notwithstanding any contrary provision herein or elsewhere, HELLOSTAY's liability for any user's claim arising from availing HELLOSTAY services through browsing HELLOSTAY's portal or elsewhere shall be limited to the amount paid by the user at the time of making the booking for the products and services that give rise to such a claim. All claims and complaints related to the use of HELLOSTAY services must be promptly submitted or reported to HELLOSTAY within 30 days of consuming such services. Any claims or complaints submitted or reported after the 30-day period may be rejected, and the claimant will forfeit the right to claim any damage, cost, or compensation.

4) Indemnification

You agree, at your own cost, to indemnify, defend, and hold HELLOSTAY, its employees, agents, and representatives harmless from any claim, suit, action, or administrative proceeding ("claim") brought against HELLOSTAY, its employees, agents, and/or representatives, to the extent that such a claim arises from or is related to your content, your access or use of the Platform, your violation of these terms of use, or any rights of another individual. This includes, without limitation, the access or use of the Platform by someone else, or the violation of the terms of use by such other person using your computer or user ID. You also undertake to indemnify HELLOSTAY against any claim, suit, action, and proceedings brought against HELLOSTAY by any partner hotels. This indemnification agreement also extends (without limitation) to any claim directly or indirectly related to the platform:

(i) that your use or access, or another person's use or access, of your computer or user ID infringes any copyright, trademark, service mark, patent, trade secret, right of publicity, or other proprietary right of a third party under any local, international, federal, or state law;

(ii) that your use or access to the platform is in any way defamatory, slanderous, libelous, or otherwise injurious to a third party.

You agree to cover all costs, damages, and expenses, including but not limited to reasonable attorney's fees and costs, awarded or incurred in connection with any such claim, suit, action, or administrative proceeding. This defense and indemnification obligation shall persist beyond these terms of use and your use of the platform.

15) Governing Law

The HELLOSTAY Platform is operated and provided by HELLOSTAY from its facilities in India. HELLOSTAY does not assert that the HELLOSTAY Platform is suitable or available for use in other locations. Individuals who choose to access or use the HELLOSTAY Platform from jurisdictions outside India do so at their own discretion and are responsible for complying with local laws. The terms of use and the relationship between you and HELLOSTAY shall be exclusively governed by and interpreted under the laws of India, without giving effect to any choice-of-law or conflict-of-law provisions.

You agree that:

(i) The HELLOSTAY Platform is considered solely based in India.

(ii) The HELLOSTAY Platform is considered passive if it does not establish personal jurisdiction over HELLOSTAY, either specific or general, in jurisdictions other than India. You and HELLOSTAY also agree to submit to the personal jurisdiction of the courts located in Delhi for any and all legal claims, suits, or actions arising in connection with the platform or from a dispute regarding the interpretation or breach of the terms of use

16) Miscellaneous

(a) Waiver and Severability: The failure of HELLOSTAY to enforce any right or provision of the terms of use shall not be deemed as a waiver of such right or provision. If any provision of the terms of use is found invalid, unenforceable, or void by a court or tribunal of competent jurisdiction, the parties agree that the court should strive to give effect to the parties' intentions as reflected in the provision. The other provisions of the terms of use will remain in full force and effect. 

(b)*Entire Agreement: The terms of use, along with the policies of any applicable end-user license agreement and any other legal notices published by HELLOSTAY on the Platform, constitute the sole agreement between you and HELLOSTAY regarding the Platform, superseding any prior agreements, oral or written. Other collateral representations, promises, and conditions, as well as any representations, warranties, promises, or conditions not incorporated herein or made as provided for in these terms of use, are not binding on HELLOSTAY. Section titles in the terms of use are for convenience only and have no legal or contractual effect. If any provision of these terms of service is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions, which shall remain in full force and effect. You may also be subject to additional terms and conditions that apply when using affiliate or other HELLOSTAY services, third-party content, or third-party software

(c) No Third Party Beneficiaries: Except as expressly provided in these Terms of Use, there shall be no third-party beneficiaries to these Terms of Use.

(d) No Right of Survivorship; Non-Transferability: Your HELLOSTAY user ID is non-transferable, and any rights to your user ID or content terminate upon your death

(e) Statute of Limitations: Regardless of any statute or law to the contrary, any claim or cause of action arising from the use of the service or the terms of use must be filed within one (1) year after such claim or cause of action arose or be forever barred.

17) Enforcement

HELLOSTAY retains the right to enlist and take actions that it reasonably deems necessary to enforce or verify compliance with any aspect of this Agreement. This includes HELLOSTAY's right to cooperate with any legal process related to your use of the mobile application and/or Content, and/or address a third-party claim asserting that your use of HELLOSTAY and/or Content is unlawful or infringes upon such third party's rights. You acknowledge that HELLOSTAY has the authority, without liability or prior notice to you, to disclose any registration data or account information to law enforcement authorities, government officials, and/or third parties. This disclosure is done when HELLOSTAY believes it is reasonably necessary or appropriate to enforce and/or verify compliance with any part of this Agreement, including cooperating with any legal process related to your use of HELLOSTAY and/or the Content, or addressing a third-party claim asserting that your use is unlawful or infringing.

18) Additional terms and conditions concerning hotels listed on HELLOSTAY platform

(a) Local residents may be restricted from checking in as guests, and this is entirely dependent on the hotel's policies. HELLOSTAY assumes no responsibility for any check-in denials resulting from such hotel policies.

(b) The primary guest must be a minimum of 18 years old to check into the hotel.

(c) Your stay does not cover additional personal expenses such as telephone charges, meals outside your meal plan, any hotel services utilized (such as laundry and room service), or gratuities. The hotel will directly charge you for these expenses during check-out.

(d) Guests are required to present valid photo identification during check-in. Government regulations mandate that every person over the age of 18 staying at the hotel must carry a valid photo ID. Accepted identification proofs include a driver's license, voter's card, and passport. Without a valid ID, the guest will not be permitted to check in. Note: PAN cards will not be accepted as valid ID cards.

(e) The hotel reserves the right of admission. Accommodation may be refused to guests representing themselves as a 'couple' if appropriate proof of identification is not provided during check-in. HELLOSTAY will not be held responsible for any check-in denials by the hotel due to the aforementioned reasons

(d) Private bathroom with branded toiletries

(e) Daily housekeeping services.
